Retreat Financing Agreement & Promissory Note

Effective Date: Date the Retreat Leader’s deposit payment is made
Parties: Hidden Leaf Baja (“HLB”) and the Retreat Leader(s).

1. Reference to Retreat Terms and Conditions

This Retreat Financing Agreement (“Agreement”) supplements and is subject to the Retreat Terms and Conditions previously accepted by the Retreat Leader. If any conflict arises, the Retreat Terms and Conditions govern unless expressly modified here.

2. Payment Terms

• Total Rental Amount: See the table below or pricing provided at checkout.

• Deposit: $1,044.30 non-refundable deposit due at booking (required to secure dates).

• Setup Fee: $520 non-refundable one-time administrative fee, charged with the first installment.

• Financed Balance: Remaining amount after deposit, subject to 10% simple interest.

• Payment Schedule:

  • If retreat dates booked are less than 12 months in advance → 4-month payment plan applies.

  • If retreat dates booked are 12 months or more in advance → 6-month payment plan applies.

• Final Payment Due: No later than 30 days before the retreat check-in date.

• Refund Policy: No installment payments, deposit, or setup fees are refundable.

Deposit and setup fee are not included in monthly payment amounts. No installment payments are refundable once charged.

3. Interest & Payment Schedule

The financed balance accrues 10% simple interest on the principal.
A payment schedule will be provided after the deposit payment is made.
Payments will be automatically processed per the selected plan.
Late payments beyond 5 days incur a $50 late fee.

4. Promissory Note Acknowledgment

By paying the deposit and enrolling in a payment plan, the Retreat Leader acknowledges and agrees to the Promissory Note terms below. This is a binding digital acceptance (no signature required).

5. Cancellation & Refunds

• The deposit, setup fee, and installment payments are non-refundable.

• Cancellation terms otherwise follow the Retreat Terms and Conditions.

• Any unpaid balance remains due unless expressly waived in writing by HLB.

6. Authorization

The Retreat Leader authorizes automated monthly payments via HLB’s designated payment platform (e.g., Chargebee or Stripe).

Retreat Leaders can review their current payment schedule, transaction history, and account details at any time by logging into their My Account page.

Promissory Note

For value received, the Retreat Leader (“Borrower”) promises to pay Hidden Leaf Baja (“Lender”) the financed retreat balance in accordance with this Agreement:

• Principal: Remaining balance after deposit

• Interest: 10% simple interest on principal

• Setup Fee: $520 non-refundable, due with first payment

• Installment Plan:

  • 4 months if booked less than 12 months in advance

  • 6 months if booked 12 months or more in advance

• Final Payment: Due no later than 30 days before check-in

• Late Fee: $50 for payments more than 5 days past due

• Refund Policy: No refunds for deposits, setup fees, or installments

Early Payoff Option
Retreat Leader may choose to pay off the remaining balance of this agreement at any time prior to the final due date without penalty. If the Retreat Leader wishes to use revenue or profit from their retreat to pay off the balance in full, they may do so by notifying Hidden Leaf in writing. Any remaining scheduled payments will then be canceled.

Failure to complete payments may result in forfeiture of the reservation, deposit, and setup fee, and HLB reserves the right to recover remaining amounts owed under applicable law.

By submitting a deposit, the Retreat Leader agrees to these terms and authorizes automated installment payments as described.

Retreat Concierge Services Agreement with Financing Terms

Effective Date: Date the Retreat Leader’s deposit payment is made
Parties: Hidden Leaf Baja (“HLB”) and the Retreat Leader.

1. Scope of Services

2. Service Options & Package Amounts

• Concierge Core Services — $3,996

• Concierge Core + Content Creation — $5,207

• Concierge Core + Marketing — $6,999

• Concierge Core + Co-Facilitator — $9,000

• Concierge Core + All Add-Ons — $13,200

3. Payment Terms (10% Simple Interest; 9-Month Plans)

• Deposit: $499, due at signing (non-refundable).
• Setup Fee (non-refundable, charged at 1st installment).
• Principal (Financed): Package Amount − $499 deposit.
• Interest: 10% simple interest on principal.
• Plan Length: 9 months (all Concierge packages).
• Billing: Auto-pay via Chargebee; your payment schedule is issued after the deposit is paid.
• Refunds: No installment payments are refundable once charged. Deposit and setup fees are non-refundable.

Early Payoff Option
The Retreat Leader may pay off the remaining balance at any time before the final due date without penalty. If the Retreat Leader wishes to use retreat revenue or profit to pay in full, notify HLB in writing and remaining scheduled payments will be canceled.

4. Payment Schedule (Rounded; 9-Month Plans)

A) Concierge Core Services — $3,996

• Financed (Total − $499 Deposit): $3,497

• Total with 10% Interest: $3,847 + One-Time Setup Fee: $180

• Installments 1–8: $504 each

B) Concierge Core + Content Creation — $5,207

• Financed (Total − $499): $4,708

• Total with 10% Interest: $5,179 + One-Time Setup Fee: $234

• Installments 1–8: $882 each

C) Concierge Core + Marketing — $6,999

• Financed (Total − $499): $6,500

• Total with 10% Interest: $7,150 + One-Time Setup Fee: $315

• Installments 1–8: $1,209 each

D) Concierge Core + Co-Facilitator — $9,000

• Financed (Total − $499): $8,501

• Total with 10% Interest: $9,351 + One-Time Setup Fee: $405

• Installments 1–8: $1,574 each

E) Concierge Core + All Add-Ons — $13,200

• Financed (Total − $499): $12,701

• Total with 10% Interest: $13,971 + One-Time Setup Fee: $594

• Installments 1–8: $2,340 each

Note: Installments 1–8 are rounded up to the nearest whole dollar to simplify billing. The final installment adjusts to ensure the total financed with interest remains accurate. Deposits and setup fees are charged at signing and are separate from installments.

5. Late Payment & Defaults

• $50 late fee for payments more than 5 days overdue.

• Repeated missed payments may result in suspension of services, referral to collections, or termination of the Agreement.

6. Cancellation & Refunds

• All sales are final.

• The deposit and any completed payments are non-refundable.

• Exceptions may be granted at HLB’s sole discretion.

7. Additional Terms

Default Acceleration Clause
If the Retreat Leader fails to make two consecutive payments, or otherwise defaults, the entire remaining balance may become immediately due and payable at HLB’s discretion. HLB may pursue legal remedies, including collections.

Force Majeure
Neither party is liable for delays or failures due to causes beyond reasonable control, including but not limited to acts of God, pandemic, natural disasters, labor disputes, governmental orders, or interruptions in transportation or communication.

Modifications
Any modifications or amendments to this Agreement must be made in writing and agreed by both parties to be enforceable. Verbal modifications are not valid.

Signature Solo Retreat Terms & Waiver

Effective Date: Date of Guest Booking
Parties: Hidden Leaf Baja (“HLB”) and the Participant.

These Terms & Waiver apply in addition to the Retreat Participant Terms & Conditions. If any conflict arises, the Retreat Participant Terms and Conditions govern unless expressly modified here. By booking a Signature Solo Retreat, the Participant. acknowledges and agrees to both sets of terms.

1. Payment & Refund Policy

• A $500 non-refundable deposit confirms the reservation.

• Remaining balance due 60 days prior to check-in.

• Cancellations before 60 days: deposit forfeited.

• Cancellations within 60 days: no refunds available.

Signature Solo Participants can view payment details, receipts, and upcoming balance information by visiting their My Account page.

2. Practitioner Services

Signature Solo Retreats may include sessions (e.g., bodywork, sound therapy, or yoga) provided by independent practitioners, not employees of HLB.
Practitioners are solely responsible for their own services.

3. Liability Waiver

By participating, Participant:

• Acknowledges that physical or therapeutic activities involve inherent risks.

• Assumes all responsibility for injury, illness, or property loss.

• Releases HLB, its owners, and practitioners from any liability related to participation.

• Affirms that they are physically and mentally fit to engage in all activities or will inform HLB otherwise.

4. Conduct & Safety

Participants must adhere to property rules, quiet hours, and respectful behavior.
HLB reserves the right to terminate participation without refund if safety or respect guidelines are violated.

5. Governing Law

These Terms are governed by the laws of Baja California Sur, Mexico.
